1. Services

Steaden (Pty) Ltd ("the Agency") offers the following services: lead generation, CRM Integration, Reputation Management, Email Marketing, Search Engine Optimization and Social Media Management.

2. Payment Terms

2.1. Invoicing: The Agency will send monthly invoices to the Client for services rendered. Invoices will detail services provided, their associated costs, and the total amount due.

2.2. Payment Deadline: Payment for each invoice is due within 2 business days from the invoice date.

2.3. Payment Methods: The Agency accepts payments through bank transfers. Payment details will be provided on each invoice.

2.4. Late Payments: Failure to make payments by the due date may result in the Agency pausing or suspending services until payment is received.

2.5. Disputes: If the Client believes there is an error in any invoice, they must notify the Agency within 24 hours of receiving the invoice. Failure to dispute an invoice within this period implies the Client's acceptance of its accuracy.

3. Termination

3.1. Termination Rights: Either party may terminate this Agreement at any time by providing 14 business days' written notice to the other party. The Client must submit written email notification of their intent to

3.2. Off-boarding Form: The Client agrees to complete the Agency's off-boarding form upon termination to assist in improving service. Failure to comply may affect refund eligibility.

4. Client Conduct

4.1. Conduct Expectations: The Agency expects the Client to maintain professional and respectful conduct at all times during the engagement. Disruptive, abusive, or inappropriate behavior towards the Agency and its representatives, or failure to follow program guidelines, may result in limitations, suspension, or termination of services.

5. Liability

5.1. Platform Compliance: The Agency is not liable if the Client's ad account, profile, or business page is disabled, deactivated, or banned by Meta platform and/or other web-based platforms, or if those platforms do not approve ads or force the Agency into the special ads category.

5.2. Force Majeure: Neither party shall be liable for any failure or delay in performing its obligations under this Agreement due to circumstances beyond their reasonable control, including acts of God, flood, fire, earthquake, explosion, war, terrorism, invasion, riot, or other civil unrest.

6. Confidentiality & Intellectual Property

6.1. Confidential Information: The Client's confidential and proprietary information, including ideas, business plans, and trade secrets ("Confidential Information"), shall not be shared outside of the Agency without the Client's knowledge and approval.

6.2. Intellectual Property: The Agency has no right or license to use the Client's data, assets, or materials outside the term of the agreement, except as necessary to provide services. Reproduction, distribution, and sale of the Agency's strategies, assets, and materials by parties other than the Agency are strictly prohibited.

7. Client Communication

7.1. Recording: Client communication may be recorded for quality and training purposes.

7.2. Access to Recorded Calls: The Client may request access to and view recorded calls during the term of service.

7.3. Testimonial Use: The Agency reserves the right to distribute proof of campaign results in its internal marketing campaigns for testimonial purposes.

8. Data Handeling

8.1. Client Cooperation: The Client agrees to cooperate with the Agency's data requests and any other information relevant for the Agency to perform its services effectively.

9. Governing Law

9.1. South African Law: This Agreement is governed by the laws of South Africa

10. Changes To Terms & Conditions

10.1. The Agency reserves the right to modify these terms and conditions at its sole discretion. In the event of any changes, the Agency will update this page on its website. Clients are responsible for reviewing the updated terms. Continued use of the Agency's services after the effective date of changes constitutes acceptance of the modified terms.
